g. No third-party beneficiaries. There is no third party beneficiary of this agreement. Downtime is defined as a period during which end users are not able to see the state of presence, perform instant conversations, or initiate online conversations. Government customers should consult with Microsoft before accepting it. By accepting this agreement, you represent that you have complied and will continue to comply with all applicable laws and regulatory requirements. i. The Global Agreement. This Agreement is the whole agreement on its subject matter and supersedes all prior or simultaneous notifications.

In the event of any conflict between the documents in this Agreement that is not explicitly resolved in these documents, their terms apply in the following descending order of priority: (1) this Microsoft Online Subscription Agreement, (2) the Online Terms of Service, (3) the details of the current offer, and (4) all other documents in this Agreement. This Microsoft Online Subscription Agreement is between the legal entity you represent or, if you do not designate a legal entity in connection with a subscription purchase or subscription renewal, you individually (“you” or “your”) and Microsoft Corporation (“Microsoft”, “we”, “us”, “us” or “unser”). It consists of the online terms and conditions of service, SLAs and offer details for your subscription or renewal (together the “Agreement”). It will be effective on the day we confirm your subscription or the renewal date of your subscription, if applicable. Keywords are defined in Section 8. “Online Services” means all Microsoft-hosted services to which you subscribe under this agreement. Any reference to the “day” in this Agreement shall be a calendar day. “Managed Service Solution” means a managed IT service that you make available to a third party and that consists of the management and support of Microsoft Azure services.

“Online Terms of Service” means the terms applicable to the use of products available in www.microsoft.com/en-us/Licensing/product-licensing/products.aspx. The Terms applicable to online services contain terms that govern your use of products that apply in addition to the terms set forth in this Agreement. “SLA” means the commitments we make with respect to the provision and/or provision of an online service, as posted on aka.ms/csla, azure.microsoft.com/en-us/support/legal/sla/ or other website that we identify. c. Suspension. We may suspend your use of the Online Services if: (1) it is reasonably necessary to prevent unauthorized access to customer data; (2) You do not respond within a reasonable time to any claim of an alleged breach of paragraph 5; 3. If one or more of these conditions are met, this SLA applies to all legitimate calls placed by a voice service user in the subscription (enabled for any type of VOIP or PSTN call). (i) For engagement offers, the price tier may be based on the quantity of online services you have ordered. Some offers may allow you to change the amount of online services ordered over the lifetime and your price level may be adjusted accordingly, but price level changes are not retroactive.

During the term of your subscription, the prices of the online services in relation to your subscription will not be increased from the prices published on the portal on the effective date or renewal of your subscription, unless the prices are indicated in the offer details as temporary or for previews or non-Microsoft products. . . .
